Terms and Conditions

By accessing or using the Midas Bloom platform (the "Platform"), you agree to be bound by these Terms and Conditions ("Terms"). If you do not agree to these Terms, you may not access or use the Platform. These Terms constitute a legally binding agreement between you and Midas Bloom Ltd ("Midas Bloom", "we", "us", or "our").

You must be at least 18 years of age to use this Platform. By using the Platform, you represent and warrant that you have the legal capacity to enter into a binding agreement and that you are not barred from using the Platform under applicable law.

Midas Bloom provides a marketplace connecting business advisors ("Experts") with businesses seeking advisory services ("Clients"). You agree to use the Platform only for lawful purposes and in accordance with these Terms. You must not: • Use the Platform in any way that violates applicable local, national, or international law or regulation. • Transmit any unsolicited or unauthorised advertising or promotional material. • Impersonate any person or entity, or falsely state or otherwise misrepresent your affiliation with a person or entity. • Engage in any conduct that restricts or inhibits anyone's use or enjoyment of the Platform.

To offer services on Midas Bloom as an Expert, you must complete our registration process and pass our verification checks. You agree to provide accurate, current, and complete information during registration. Midas Bloom reserves the right to refuse, suspend, or terminate any Expert account at its sole discretion, including where we believe information provided is inaccurate or misleading.

Experts set their own rates for services offered on the Platform. Midas Bloom charges a service fee as a percentage of each completed transaction, as detailed in our Fee Schedule (updated from time to time). Payments to Experts are issued within 72 hours of a successfully completed consultation, subject to verification and any applicable holds. Midas Bloom reserves the right to withhold payments where a dispute is pending or where we suspect fraudulent activity.

Cancellation and refund policies vary by session type and are communicated at the time of booking. Where a session is cancelled by an Expert without sufficient notice, the Client may be entitled to a full refund. Midas Bloom's decision on all refund disputes is final.

All content on the Platform, including but not limited to text, graphics, logos, and software, is the property of Midas Bloom or its content suppliers and is protected by applicable intellectual property laws. You may not reproduce, distribute, or create derivative works without our prior written consent. You retain ownership of any content you submit, but grant Midas Bloom a worldwide, royalty-free licence to use, display, and distribute such content in connection with operating the Platform.

Both Experts and Clients agree to keep confidential any proprietary or sensitive information disclosed during consultations. Experts must not share Client business information with third parties without prior written consent from the Client.

To the fullest extent permitted by law, Midas Bloom shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or relating to your use of the Platform. Our total liability to you for any claims under these Terms shall not exceed the total fees paid by you to Midas Bloom in the three (3) months preceding the claim.

The Platform is provided on an "as is" and "as available" basis without warranties of any kind, either express or implied. Midas Bloom does not warrant that the Platform will be uninterrupted, error-free, or free of viruses or other harmful components. Advisory services provided by Experts are independent opinions and do not constitute professional legal, financial, or regulatory advice.

Your use of the Platform is also governed by our Privacy Policy, which is incorporated into these Terms by reference. By using the Platform, you consent to the collection and use of your personal data as described in our Privacy Policy.

Midas Bloom reserves the right to suspend or terminate your access to the Platform at any time, with or without notice, for conduct that we believe violates these Terms or is harmful to other users, Midas Bloom, or third parties. Upon termination, your right to use the Platform ceases immediately.

We may update these Terms from time to time. We will notify you of material changes by posting the updated Terms on the Platform and updating the effective date below. Your continued use of the Platform after any changes constitutes your acceptance of the new Terms.

These Terms are governed by and construed in accordance with the laws of the Federal Republic of Nigeria. Any disputes arising under these Terms shall be subject to the exclusive jurisdiction of the courts of Lagos State, Nigeria.
